1. Acceptance of These Terms

These Terms of Service ("Terms") are a binding legal agreement between you and MyBarnBridge.com ("MyBarnBridge.com," "we," "us," or "our"). By accessing, browsing, registering for, listing on, bidding through, or otherwise using MyBarnBridge.com (the "Site"), you agree to these Terms in full. If you do not agree, do not use the Site.

We may revise these Terms at any time. Revisions take effect when posted to the Site. Your continued use after posting constitutes acceptance of the revised Terms. You are responsible for reviewing these Terms periodically.

2. What MyBarnBridge.com Is — and What It Is Not

MyBarnBridge.com is a venue only. We provide an online platform where users may post listings for livestock and farm equipment and where other users may view those listings and contact the seller directly. That is the entire service.

MyBarnBridge.com expressly states, and you expressly acknowledge, that:

• MyBarnBridge.com is NOT a party to any transaction between users. Every sale, purchase, trade, or transport arrangement is strictly peer-to-peer between the listing user (the seller) and the buying user.
• MyBarnBridge.com does NOT act as an agent, broker, dealer, market agency, commission merchant, auctioneer, packer, order buyer, or intermediary in the sale of livestock, and does not hold itself out as any of those.
• MyBarnBridge.com does NOT take title, ownership, custody, possession, or control of any livestock at any time.
• MyBarnBridge.com does NOT handle, process, hold, escrow, collect, remit, or facilitate payment or proceeds for any livestock sale. All livestock payments occur directly between buyer and seller, outside the Site.
• MyBarnBridge.com does NOT inspect, examine, verify, weigh, grade, test, appraise, transport, house, feed, or care for any animal.
• MyBarnBridge.com does NOT verify the identity, honesty, solvency, licensing, or legal capacity of any user, nor the accuracy, legality, or completeness of any listing.

Nothing on the Site creates an agency, partnership, joint venture, employment, fiduciary, or franchise relationship between you and MyBarnBridge.com. To the extent any federal or state law — including the Packers and Stockyards Act, 7 U.S.C. § 181 et seq., and state livestock dealer, market agency, brand, or auctioneer licensing statutes — governs persons who buy, sell, broker, or handle livestock or the proceeds of livestock sales, MyBarnBridge.com does not engage in those activities and does not undertake the duties of such persons.

3. Eligibility and Accounts

• You must be at least 18 years old and legally capable of forming a binding contract to create an account, post a listing, bid, or transact.
• Account information you provide must be accurate, current, and complete, and you must keep it updated.
• You are solely responsible for all activity under your account and for safeguarding your credentials. Notify us immediately at [Contact Email] of any unauthorized use.
• Accounts are personal to you. Do not sell, transfer, or share your account.

4. Fees — Free Livestock Listings, Paid Features, Paid Equipment

• Livestock listings are free. There is no listing fee and no commission, success fee, or percentage of any livestock sale.
• The only paid feature for livestock is an optional "Featured Listing," which places or displays a listing more prominently for a stated period.
• Equipment listings and equipment auctions are subject to fees, which are disclosed at the time you post or list. Fees may include listing fees, featuring fees, and stated seller or buyer fees for auction transactions.
• All fees are stated in U.S. dollars, are charged through our third-party payment processor, and are non-refundable except where required by law or expressly stated in writing at purchase.

FEATURED LISTING FEES ARE FOR PROMOTIONAL PLACEMENT AND VISIBILITY ONLY. A Featured Listing does not vet, endorse, verify, guarantee, insure, or warrant the seller, the buyer, the animal, the equipment, the price, the description, or the completion of any sale. Purchasing a Featured Listing does not make MyBarnBridge.com an agent, broker, or party to your transaction, does not create any duty of care regarding the underlying sale, and does not entitle you to any particular number of views, inquiries, offers, or a sale of any kind.

Any fee paid to MyBarnBridge.com is compensation for access to and placement on the platform only. It is never compensation for the sale of an animal and never represents proceeds, commission, or consideration for livestock.

5. Listing Rules and User Conduct

When you post a listing, you represent and warrant that:

• You are the lawful owner of the animal or equipment, or are expressly authorized by the owner to offer it for sale, and you can convey clear title free of undisclosed liens, security interests, or ownership disputes.
• Every material fact in your listing is truthful, accurate, and complete — including species, breed, sex, age, weight, quantity, registration and pedigree, pregnancy or breeding status, soundness, known vices or behavioral issues, injuries, disease exposure, test results, vaccination and treatment history, medications and withdrawal times, and, for equipment, brand, model, year, hours, condition, and known defects.
• You will promptly correct or remove a listing that becomes inaccurate, and you will remove a listing once the animal or item is sold or withdrawn.
• You hold all licenses, permits, registrations, and brand or health paperwork required for you to offer and complete the sale.

The following are strictly prohibited:

• Fraudulent, deceptive, misleading, or materially incomplete listings — especially concerning animal health, disease status, soundness, ownership, or title.
• Concealing a known disease, positive test result, quarantine, hold order, injury, lameness, dangerous vice, or lien.
• Listing animals or property you do not own or have no authority to sell, or listing stolen property.
• Any activity that violates federal, state, tribal, or local law, including animal cruelty, illegal drug or hormone use, misuse of veterinary drugs, illegal wildlife or endangered species sales, unlawful interstate movement, or evasion of animal health or brand inspection requirements.
• Harassment, threats, hate speech, spam, scraping, bots, price manipulation, shill bidding, off-platform circumvention of properly owed fees, malware, or interference with the Site's operation or security.
• Impersonation, use of another person's identity or payment method, or creation of accounts to evade suspension.

6. Livestock Transactions Are Strictly Between Users

All negotiation, pricing, inspection, veterinary examination, testing, paperwork, payment, transport, delivery, acceptance, and transfer of ownership for livestock occurs directly between buyer and seller, off the Site and without MyBarnBridge.com's participation, supervision, or knowledge.

You are solely and exclusively responsible for compliance with all animal health and movement law, including but not limited to Certificates of Veterinary Inspection (CVIs/health certificates), Coggins/EIA testing, brucellosis, tuberculosis, trichomoniasis, scrapie, and other required testing, official individual identification and tagging, USDA APHIS interstate movement rules, state entry permits and import requirements, brand inspection, bills of sale, quarantine, biosecurity, transport welfare, and any sale, transfer, or use tax.

We strongly recommend an independent pre-purchase veterinary examination, verification of ownership and papers, a written bill of sale, and verified payment before any animal or money changes hands.

7. No Warranty Regarding Animals, Equipment, or Users

MYBARNBRIDGE.COM MAKES NO WARRANTIES OR REPRESENTATIONS OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE HEALTH, SOUNDNESS, DISEASE STATUS, TEMPERAMENT, FERTILITY, PREGNANCY, PEDIGREE, REGISTRATION, AGE, BREED, SEX, WEIGHT, QUALITY, PERFORMANCE, SUITABILITY, TITLE, OWNERSHIP, LEGALITY, OR CONDITION OF ANY ANIMAL OR ITEM OF EQUIPMENT LISTED ON THE SITE.

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, TIMELY, OR ERROR-FREE.

Every animal and item is offered by its seller AS-IS, WHERE-IS, with all faults, and without any warranty from MyBarnBridge.com of any kind.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MYBARNBRIDGE.COM AND ITS OWNERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OPERATORS, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS (THE “RELEASED PARTIES”) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, LIVESTOCK, HERD VALUE, GENETICS, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SITE OR ANY TRANSACTION BETWEEN USERS.

Without limiting the foregoing, the Released Parties are not responsible or liable for:

• Disease transmission, contagion, infection, contamination, quarantine, herd loss, depopulation, injury, sickness, or death of any animal.
• Misrepresentation, fraud, nonpayment, bounced or fraudulent payment, failure to deliver, failure to accept delivery, or breach of contract by any user.
• Defects in title, liens, stolen property, brand disputes, or registration or pedigree problems.
• Injury to persons or property caused by any animal or by any item of equipment.
• Transport, hauling, loading, handling, or delivery of any animal or item.
• Failure to obtain or honor CVIs, tests, permits, tags, or other legal requirements.
• Content posted by users, third-party links or services, payment processor failures, or Site downtime, data loss, or security incidents.

THE TOTAL AGGREGATE LIABILITY OF THE RELEASED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU ACTUALLY PAID TO MYBARNBRIDGE.COM IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. Some jurisdictions do not allow certain exclusions; in those jurisdictions liability is limited to the maximum extent permitted.

9. Release of Claims Between Users

You release the Released Parties from any and all claims, demands, damages, and causes of action of every kind, known or unknown, arising out of or in any way connected with any dispute between you and another user, including disputes over animals, equipment, payment, transport, health status, or paperwork. If you are a California resident, you expressly waive California Civil Code § 1542 and any similar law of another jurisdiction.

10. Indemnification

You agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, demands, actions, investigations, liabilities, losses, damages, judgments, fines, penalties, costs, and expenses (including reasonable attorneys' fees and expert costs) arising out of or related to: (a) your listings, content, statements, or conduct; (b) any transaction, dispute, or communication between you and another user; (c) the health, condition, title, ownership, transport, or death of any animal or item you list, buy, or sell; (d) your violation of these Terms or of any law, regulation, licensing requirement, or third-party right, including animal health, movement, brand, cruelty, consumer protection, and Packers and Stockyards requirements; (e) your fraud, misrepresentation, negligence, or willful misconduct; and (f) taxes owed on your transactions. We may assume exclusive defense and control of any matter subject to indemnification, at your expense, and you will cooperate.

11. Moderation, Removal, Suspension, and Refusal of Service

We may, at our sole discretion and at any time, with or without notice or cause, remove or edit any listing or content, decline to publish a listing, limit visibility or features, suspend or terminate any account, and refuse service to anyone. We have no obligation to monitor content, but we may do so. Removal or termination does not entitle you to a refund of fees, except where required by law. We may cooperate with law enforcement, brand inspectors, and animal health authorities and may disclose information as permitted by our Privacy Policy or required by law.

12. Your Content and License

You retain ownership of the photos, videos, and text you post. You grant MyBarnBridge.com a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, adapt, display, distribute, and promote that content in connection with operating, marketing, and improving the Site. You represent that you own or have all rights necessary to grant this license and that your content does not infringe any third-party right. We respond to valid copyright notices under the DMCA; send notices to [Contact Email].

13. Third-Party Services

Payments for Featured Listings, equipment listings, and equipment auction fees are processed by third-party payment processors under their own terms. We do not store full payment card numbers. Links to third-party sites and services are provided for convenience only; we do not endorse and are not responsible for them.

14. Binding Arbitration and Class Action Waiver

PLEASE READ CAREFULLY — THIS SECTION AFFECTS YOUR LEGAL RIGHTS. Except for (i) individual claims in small claims court and (ii) claims for injunctive or equitable relief regarding intellectual property or Site security, any dispute, claim, or controversy arising out of or relating to the Site, these Terms, or your use of MyBarnBridge.com will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The Federal Arbitration Act governs this section.

Arbitration will take place in [Governing State], or by telephone, video, or documents-only submission at the arbitrator's discretion. The arbitrator, not a court, decides all issues of arbitrability, scope, and enforceability, except as to the class waiver below.

CLASS ACTION WAIVER: YOU AND MYBARNBRIDGE.COM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY CLASS PROCEEDING. YOU AND MYBARNBRIDGE.COM WAIVE ANY RIGHT TO A JURY TRIAL. If the class action waiver is found unenforceable as to a particular claim, that claim proceeds in court and all other claims remain in arbitration.

Before filing, you agree to send written notice of the dispute to [Contact Email] and to attempt informal resolution in good faith for thirty (30) days.

OPT-OUT: You may opt out of arbitration and the class waiver by emailing [Contact Email] within thirty (30) days of first accepting these Terms, stating your name, account email, and that you opt out. Opting out does not affect any other provision.

TIME LIMIT: Any claim must be filed within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.

15. Governing Law and Venue

These Terms and any dispute are governed by the laws of the State of [Governing State], without regard to conflict-of-law rules. For any matter not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in [Governing State].

16. Severability, Waiver, Assignment, and Entire Agreement

• Severability: If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions stay in full force.
• Survival: Sections concerning fees owed, disclaimers, limitation of liability, release, indemnification, arbitration, and governing law survive termination.
• No waiver: Our failure to enforce any provision is not a waiver of it.
• Assignment: You may not assign these Terms. We may assign them freely, including in a merger or sale of assets.
• Entire agreement: These Terms, together with the Privacy Policy, Disclaimer & Limitation of Liability, and Livestock Transaction Disclaimer, are the entire agreement between you and MyBarnBridge.com regarding the Site.
• Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control, including disease outbreaks, natural disasters, and network or vendor failures.
