Terms of Service

1. Acceptance of These Terms

These Terms of Service ("Terms") are a binding legal agreement between you and MyBarnBridge.com ("MyBarnBridge.com," "we," "us," or "our"). By accessing, browsing, registering for, listing on, bidding through, or otherwise using MyBarnBridge.com (the "Site"), you agree to these Terms in full. If you do not agree, do not use the Site.

We may revise these Terms at any time. Revisions take effect when posted to the Site. Your continued use after posting constitutes acceptance of the revised Terms. You are responsible for reviewing these Terms periodically.

2. What MyBarnBridge.com Is — and What It Is Not

MyBarnBridge.com is an advertising and listing venue only. We provide an online platform where users may post listings for livestock and farm equipment and where other users may view those listings and contact the seller directly. That is the entire service.

MyBarnBridge.com expressly states, and you expressly acknowledge, that:

• MyBarnBridge.com is NOT a party to any transaction between users. Every sale, purchase, trade, or transport arrangement is strictly peer-to-peer between the listing user (the seller) and the buying user, AT THE SOLE RISK OF THE BUYER AND SELLER.
• MyBarnBridge.com does NOT act as an agent, broker, dealer, market agency, commission merchant, auctioneer, packer, order buyer, or intermediary in the sale of livestock, and does not hold itself out as any of those.
• MyBarnBridge.com does NOT take title, ownership, custody, possession, or control of any livestock at any time.
• MyBarnBridge.com does NOT inspect, examine, verify, weigh, grade, test, appraise, transport, house, feed, or care for any animal.
• MyBarnBridge.com does NOT verify the identity, honesty, solvency, licensing, or legal capacity of any user, nor the accuracy, legality, or completeness of any listing.

Nothing on the Site creates an agency, partnership, joint venture, employment, fiduciary, or franchise relationship between you and MyBarnBridge.com. To the extent any federal or state law — including the Packers and Stockyards Act, 7 U.S.C. § 181 et seq., and state livestock dealer, market agency, brand, or auctioneer licensing statutes — governs persons who buy, sell, broker, or handle livestock or the proceeds of livestock sales, MyBarnBridge.com does not engage in those activities and does not undertake the duties of such persons.

3. Eligibility and Accounts

• You must be at least 18 years old and legally capable of forming a binding contract to create an account, post a listing, bid, or transact.
• Account information you provide must be accurate, current, and complete, and you must keep it updated.
• You are solely responsible for all activity under your account and for safeguarding your credentials. Notify us immediately at business@mybarnbridge.com of any unauthorized use.
• Accounts are personal to you. Do not sell, transfer, or share your account.

4. Fees — Free Livestock Listings, Paid Features, Paid Equipment

• Livestock listings are free. There is no listing fee and no commission, success fee, or percentage of any livestock sale.
• The only paid feature for livestock is an optional "Featured Listing," which places or displays a listing more prominently for a stated period.
• Equipment listings and equipment auctions are subject to fees, which are disclosed at the time you post or list. Fees may include listing fees, featuring fees, and stated seller or buyer fees for auction transactions.
• All fees are stated in U.S. dollars, are charged through our third-party payment processor, and are non-refundable except where required by law or expressly stated in writing at purchase.

FEATURED LISTING FEES ARE FOR PROMOTIONAL PLACEMENT AND VISIBILITY ONLY. A Featured Listing does not vet, endorse, verify, guarantee, insure, or warrant the seller, the buyer, the animal, the equipment, the price, the description, or the completion of any sale. Purchasing a Featured Listing does not make MyBarnBridge.com an agent, broker, or party to your transaction, does not create any duty of care regarding the underlying sale, and does not entitle you to any particular number of views, inquiries, offers, or a sale of any kind.

Any fee paid to MyBarnBridge.com is compensation for access to and placement on the platform only. It is never compensation for the sale of an animal and never represents proceeds, commission, or consideration for livestock.

5. Listing Rules and User Conduct

When you post a listing, you represent and warrant that:

• You are the lawful owner of the animal or equipment, or are expressly authorized by the owner to offer it for sale, and you can convey clear title free of undisclosed liens, security interests, or ownership disputes.
• Every material fact in your listing is truthful, accurate, and complete — including species, breed, sex, age, weight, quantity, registration and pedigree, pregnancy or breeding status, soundness, known vices or behavioral issues, injuries, disease exposure, test results, vaccination and treatment history, medications and withdrawal times, and, for equipment, brand, model, year, hours, condition, and known defects.
• You will promptly correct or remove a listing that becomes inaccurate, and you will remove a listing once the animal or item is sold or withdrawn.
• You hold all licenses, permits, registrations, and brand or health paperwork required for you to offer and complete the sale.

The following are strictly prohibited:

• Fraudulent, deceptive, misleading, or materially incomplete listings — especially concerning animal health, disease status, soundness, ownership, or title.
• Concealing a known disease, positive test result, quarantine, hold order, injury, lameness, dangerous vice, or lien.
• Listing animals or property you do not own or have no authority to sell, or listing stolen property.
• Any activity that violates federal, state, tribal, or local law, including animal cruelty, illegal drug or hormone use, misuse of veterinary drugs, illegal wildlife or endangered species sales, unlawful interstate movement, or evasion of animal health or brand inspection requirements.
• Harassment, threats, hate speech, spam, scraping, bots, price manipulation, shill bidding, off-platform circumvention of properly owed fees, malware, or interference with the Site's operation or security.
• Impersonation, use of another person's identity or payment method, or creation of accounts to evade suspension.

6. Livestock Transactions Are Strictly Between Users

All negotiation, pricing, inspection, veterinary examination, testing, paperwork, payment, transport, delivery, acceptance, and transfer of ownership for livestock occurs directly between buyer and seller, off the Site and without MyBarnBridge.com's participation, supervision, or knowledge.

You are solely and exclusively responsible for compliance with all animal health and movement law, including but not limited to Certificates of Veterinary Inspection (CVIs/health certificates), Coggins/EIA testing, brucellosis, tuberculosis, trichomoniasis, scrapie, and other required testing, official individual identification and tagging, USDA APHIS interstate movement rules, state entry permits and import requirements, brand inspection, bills of sale, quarantine, biosecurity, transport welfare, and any sale, transfer, or use tax.

We strongly recommend an independent pre-purchase veterinary examination, verification of ownership and papers, a written bill of sale, and verified payment before any animal or money changes hands.

6.1. Livestock Category — No Commission, No Payment Processing, No Verification

The livestock category on MyBarnBridge.com is a free peer-to-peer advertising service. We charge ZERO PERCENT (0%) commission on the sale price of any livestock, animal, or animal-related listing. No fee, percentage, success charge, or brokerage amount is deducted from a livestock transaction.

MyBarnBridge.com does NOT process, handle, hold, escrow, collect, remit, or facilitate payment for any livestock purchase, deposit, or sale. All payment for animals — including deposits, purchase prices, transport costs, and any other amounts — is arranged, sent, and received directly between buyer and seller, off the Site, through methods chosen solely by the users.

MyBarnBridge.com does NOT verify, inspect, guarantee, or warrant the health, soundness, disease status, temperament, fertility, pregnancy, age, breed, sex, weight, pedigree, registration, ownership, title, or legal right to sell any animal listed on the Site. Verification of health papers, ownership, title, and all other material facts is the sole responsibility of the buyer and seller.

6.2. Equipment Listings — Fees, Subscriptions, and Promotion

Farm equipment listings are handled differently from livestock. Selling equipment on the Site may require a paid seller subscription, and optional promotional upgrades are available. All prices are shown to you in U.S. dollars before you pay, and all charges are processed by our third-party payment processor (Stripe). MyBarnBridge.com does not store your full card details.

• Seller subscriptions renew automatically on the plan interval you choose (monthly or yearly) until you cancel. You may cancel at any time from your billing page; cancellation stops future renewals and takes effect at the end of the paid period.
• Subscription and promotional fees are non-refundable except where required by law, including for partial periods, unused featured days, listings you remove, and accounts suspended or terminated for violating these Terms.
• Featured Listing and homepage spotlight upgrades are promotional placement only. They do not vet, endorse, verify, or guarantee any seller, buyer, item, price, description, or sale, and they guarantee no views, inquiries, offers, or sale.
• Promotional offers, free trial periods, and launch promotions apply only as described at the time of sign-up and may be changed or withdrawn for future users at any time.

Equipment sold through an ordinary fixed-price listing is negotiated and paid for directly between buyer and seller off the Site. MyBarnBridge.com does not collect the purchase price, does not escrow funds, and is not a party to that sale.

6.3. Equipment Auctions — Binding Bids, Fees, and Close

Auctions on MyBarnBridge.com are available for farm equipment only. Livestock may not be auctioned on the Site. By registering for, bidding in, or listing in an auction, you agree to this section in addition to all other Terms.

EVERY BID IS A BINDING, IRREVOCABLE OFFER TO BUY THE LOT AT THE BID AMOUNT, AND EVERY ITEM IS SOLD AS-IS, WHERE-IS, WITH ALL FAULTS. Bids cannot be retracted. Before your first bid in an auction you must check the box accepting the As-Is, Where-Is, With All Faults terms for that auction; that acceptance applies to every bid you place in that auction.

• Bidding is by proxy: you may set a maximum, and the system bids on your behalf in the posted increments only as needed to keep you in the lead, up to your maximum.
• Bid increments follow a fixed ladder based on the current price, shown on the auction page. Bids below the required next amount are rejected.
• Anti-sniping soft close: a bid placed in the final two minutes extends the auction by two minutes, and this repeats until two minutes pass with no new bid.
• A reserve price may be set by the seller and is not disclosed. If the reserve is not met when the clock runs out, the lot does not sell and no contract is formed.
• If the reserve is met (or no reserve is set), the auction closes automatically at zero and the high bidder wins. The close is a final, binding, legally enforceable purchase contract with no approval, cooling-off, or cancellation step.
• Bidders must have a valid payment method on file before their first bid, and each bid places a temporary authorization on that card for the buyer premium that would apply at that bid ($75 minimum). The authorization is released if you do not win and captured if you do. Sellers must have a valid payment method on file before a lot can go live; the seller fee is charged to it at close.
• If the winning bidder's payment fails, the win is marked unpaid, any amount already captured is kept, the lot may be offered to the next-highest bidder, and the defaulting account is blocked from bidding and listing until the amount owed is paid. Failure to pay is a breach of contract and may also result in listing removal, account suspension, and referral for collection.
• Seller and buyer contact details, the yard address, and the pickup location are withheld until the required charges clear. Questions before the close stay on the lot page.
• Shill bidding, bidding on your own lot, coordinated bidding, and any other manipulation of the price are prohibited and may result in cancelled bids and a permanent ban.
• After the first bid, the seller may not cancel the lot, change its price or reserve, or end it early, and must honor the sale at the hammer price.

Seller fee 4% ($75 minimum). Buyer premium 5% ($75 minimum). Both capped at $2,500. Never more. No subscription required to start an auction. Each fee is calculated separately as MIN($2,500, MAX($75, rate × hammer price)), rounded to the nearest cent; the two fees are never added together before the minimum or the cap is applied. BarnBridge Seller subscribers pay a 3.4% seller fee and Seller Pro subscribers pay a 3% seller fee; both discounted seller fees keep the same $75 minimum and $2,500 cap. The buyer premium remains 5% for everyone, with the same $75 minimum and $2,500 cap. The seller fee and the buyer premium are charged only if the lot actually sells (reserve met and the winning bid stands); if it does not sell, the seller fee is $0 and the buyer premium is $0. Examples: $1,000 lot → seller $75 / buyer $75. $20,000 lot → seller $800 / buyer $1,000. $80,000 lot → both sides $2,500 (cap applies). The $75 minimum does not apply to featured-auction promotion, fixed-price equipment listings, or livestock, which remain free with 0% commission. Optional featured-auction promotion is available at the price shown when purchased. Fees are non-refundable except where required by law.

Equipment auctions charge the buyer premium and the seller fee only. The hammer price of the machine is paid directly between buyer and seller, outside the Site, at pickup. MyBarnBridge.com does not authorize, charge, or invoice the hammer price. MyBarnBridge.com does not hold, escrow, or process the hammer price, and every lot remains sold AS-IS, WHERE-IS, WITH ALL FAULTS.

Pickup, loading, transport, titling, registration, and any inspection of equipment are the responsibility of the buyer and seller. MyBarnBridge.com does not inspect, test, appraise, store, load, or transport any item, does not verify hours, serial or PIN numbers, mechanical condition, or freedom from liens, and makes no warranty of any kind on any lot.

6.4. How Payments Work by Category

• Livestock: no commission, no listing fee, and no payment processing by MyBarnBridge.com. Buyers and sellers handle all money directly.
• Fixed-price equipment and services: the purchase price is handled directly between buyer and seller. We charge only subscription and promotional fees for use of the platform.
• Equipment auctions: we charge the buyer premium and the seller fee through our payment processor at close. The hammer price is paid between buyer and seller at pickup.
• MyBarnBridge.com never holds funds in trust for any user, offers no escrow, no buyer or seller protection, and no fraud, chargeback, or dispute guarantee on any transaction.

7. Absolute Liability Waiver and 'As-Is' Disclaimer

MYBARNBRIDGE.COM IS AN ADVERTISING VENUE ONLY. WE DO NOT INSPECT LIVESTOCK, VERIFY THE HEALTH OF ANY ANIMAL, OR GUARANTEE THE ACCURACY OF ANY LISTING. ALL TRANSACTIONS, COMMUNICATIONS, INSPECTIONS, PAYMENTS, TRANSPORT, AND TRANSFERS ARRANGED THROUGH THE SITE ARE AT THE USER'S OWN RISK AND ARE STRICTLY 'AS-IS, WHERE-IS, WITH ALL FAULTS.'

MYBARNBRIDGE.COM MAKES NO WARRANTIES OR REPRESENTATIONS OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE HEALTH, SOUNDNESS, DISEASE STATUS, TEMPERAMENT, FERTILITY, PREGNANCY, PEDIGREE, REGISTRATION, AGE, BREED, SEX, WEIGHT, QUALITY, PERFORMANCE, SUITABILITY, TITLE, OWNERSHIP, LEGALITY, OR CONDITION OF ANY ANIMAL OR ITEM OF EQUIPMENT LISTED ON THE SITE.

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, TIMELY, OR ERROR-FREE.

Every animal and item is offered by its seller AS-IS, WHERE-IS, with all faults, and without any warranty from MyBarnBridge.com of any kind. Buyers and sellers assume the entire risk of any transaction.

8. Regulatory Compliance Indemnification

By listing, bidding on, purchasing, selling, or arranging the movement of any animal through the Site, you represent, warrant, and covenant that you have obtained, or will obtain before movement, all legally required Certificates of Veterinary Inspection (CVIs/health certificates), negative disease test results, official identification, permits, tags, brand inspection certificates, and any other documentation required by the state, tribe, territory, or country of origin, destination, or transit.

• Sellers warrant that all required health papers, test results, and brand inspection certificates are in hand, current, and accurate before the animal is offered for sale or moved.
• Buyers warrant that they have confirmed and will satisfy their own state's entry, permit, testing, identification, and quarantine requirements before the animal moves.
• Both parties warrant that the movement, sale, and transfer comply with all applicable federal, state, tribal, and local animal health, movement, identification, brand, welfare, and sales laws.

You agree to indemnify and hold harmless MyBarnBridge.com for any claim, fine, penalty, loss, liability, or expense arising from your failure to obtain, maintain, or comply with any such legal requirement.

9. Zero Financial Mediation

Livestock, fixed-price equipment, and services: MyBarnBridge.com does NOT handle, process, hold, escrow, collect, remit, or facilitate the purchase price or proceeds of any sale; buyers and sellers pay each other directly, outside the Site, with no commission. Equipment auctions: by default we charge only the buyer premium and seller fee described in Section 6.3, and the hammer price is paid between buyer and seller. We do not hold, escrow, or process the hammer price. Our other charges are platform fees — subscriptions and promotional upgrades.

MyBarnBridge.com does NOT offer fraud protection, payment guarantees, buyer protection, seller protection, escrow services, chargeback assistance, or dispute resolution for any transaction between users. If a buyer is scammed, a check bounces, a payment fails, a seller does not deliver, or any other payment-related dispute arises, MyBarnBridge.com will not be held responsible and cannot be pulled into the dispute. Your sole recourse is against the other user.

Fees paid to MyBarnBridge.com are solely for platform access, listing placement, and promotional features. They are never a deposit, trust fund, or payment for the underlying animal, equipment, or service.

10. Forbidden Listings and Compliance

The following listings and content are strictly forbidden on MyBarnBridge.com:

• Sick, injured, diseased, or disabled animals offered for sale without clear, conspicuous, and truthful disclosure of the condition.
• Animals that are subject to a quarantine, hold order, positive disease test, or government restriction on movement or sale.
• Protected exotic species, endangered species, or any animal whose sale or possession is prohibited by federal, state, tribal, or local law.
• Animals offered for illegal fighting, baiting, research, or any unlawful purpose.
• Listings that promote animal cruelty, neglect, or unlawful veterinary drug or hormone use.
• Stolen animals or equipment, or animals or equipment offered by a person without legal authority to sell.

We reserve the right, at our sole discretion and without notice, to refuse, edit, or remove any listing or content, suspend or terminate any account, and ban any user. We may cooperate with law enforcement, brand inspectors, animal health authorities, and regulatory agencies. No refund of fees is owed for removals made under this section, except where required by law.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MYBARNBRIDGE.COM AND ITS OWNERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OPERATORS, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS (THE “RELEASED PARTIES”) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, LIVESTOCK, HERD VALUE, GENETICS, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SITE OR ANY TRANSACTION BETWEEN USERS.

Without limiting the foregoing, the Released Parties are not responsible or liable for:

• Disease transmission, contagion, infection, contamination, quarantine, herd loss, depopulation, injury, sickness, or death of any animal.
• Misrepresentation, fraud, nonpayment, bounced or fraudulent payment, failure to deliver, failure to accept delivery, or breach of contract by any user.
• Defects in title, liens, stolen property, brand disputes, or registration or pedigree problems.
• Injury to persons or property caused by any animal or by any item of equipment.
• Transport, hauling, loading, handling, or delivery of any animal or item.
• Failure to obtain or honor CVIs, tests, permits, tags, or other legal requirements.
• Content posted by users, third-party links or services, payment processor failures, or Site downtime, data loss, or security incidents.

THE TOTAL AGGREGATE LIABILITY OF THE RELEASED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU ACTUALLY PAID TO MYBARNBRIDGE.COM IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. Some jurisdictions do not allow certain exclusions; in those jurisdictions liability is limited to the maximum extent permitted.

12. Release of Claims Between Users

You release the Released Parties from any and all claims, demands, damages, and causes of action of every kind, known or unknown, arising out of or in any way connected with any dispute between you and another user, including disputes over animals, equipment, payment, transport, health status, or paperwork. If you are a California resident, you expressly waive California Civil Code § 1542 and any similar law of another jurisdiction.

13. Indemnification

You agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, demands, actions, investigations, liabilities, losses, damages, judgments, fines, penalties, costs, and expenses (including reasonable attorneys' fees and expert costs) arising out of or related to: (a) your listings, content, statements, or conduct; (b) any transaction, dispute, or communication between you and another user; (c) the health, condition, title, ownership, transport, or death of any animal or item you list, buy, or sell; (d) your violation of these Terms or of any law, regulation, licensing requirement, or third-party right, including animal health, movement, brand, cruelty, consumer protection, and Packers and Stockyards requirements; (e) your fraud, misrepresentation, negligence, or willful misconduct; and (f) taxes owed on your transactions. We may assume exclusive defense and control of any matter subject to indemnification, at your expense, and you will cooperate.

14. User-Generated Content (UGC) Indemnity

You retain ownership of the photos, videos, text, logos, and other content you post (your 'User Content'). By posting User Content, you grant MyBarnBridge.com a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, adapt, display, distribute, and promote that content in connection with operating, marketing, and improving the Site.

You represent and warrant that: (a) you own all right, title, and interest in your User Content, or have obtained all necessary licenses, releases, consents, and permissions to post it; (b) your User Content does not infringe, misappropriate, or violate any third-party copyright, trademark, trade secret, publicity, privacy, or other right; and (c) your User Content is truthful and not misleading.

You agree to indemnify and hold harmless the Released Parties from any claim, loss, liability, or expense — including reasonable attorneys' fees — arising out of or related to any allegation that your User Content infringes a third party's rights, contains stolen photos or breed logos, is defamatory, deceptive, or otherwise unlawful. We respond to valid copyright notices under the DMCA; send notices to business@mybarnbridge.com.

15. Moderation, Removal, Suspension, and Refusal of Service

We may, at our sole discretion and at any time, with or without notice or cause, remove or edit any listing or content, decline to publish a listing, limit visibility or features, suspend or terminate any account, and refuse service to anyone. We have no obligation to monitor content, but we may do so. Removal or termination does not entitle you to a refund of fees, except where required by law. We may cooperate with law enforcement, brand inspectors, and animal health authorities and may disclose information as permitted by our Privacy Policy or required by law.

16. Third-Party Services

Payments for Featured Listings, equipment listings, and equipment auction fees are processed by third-party payment processors under their own terms. We do not store full payment card numbers. Links to third-party sites and services are provided for convenience only; we do not endorse and are not responsible for them.

17. Binding Arbitration and Class Action Waiver

PLEASE READ CAREFULLY — THIS SECTION AFFECTS YOUR LEGAL RIGHTS. Except for (i) individual claims in small claims court and (ii) claims for injunctive or equitable relief regarding intellectual property or Site security, any dispute, claim, or controversy arising out of or relating to the Site, these Terms, or your use of MyBarnBridge.com will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The Federal Arbitration Act governs this section.

Arbitration will take place in [Governing State], or by telephone, video, or documents-only submission at the arbitrator's discretion. The arbitrator, not a court, decides all issues of arbitrability, scope, and enforceability, except as to the class waiver below.

CLASS ACTION WAIVER: YOU AND MYBARNBRIDGE.COM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY CLASS PROCEEDING. YOU AND MYBARNBRIDGE.COM WAIVE ANY RIGHT TO A JURY TRIAL.
